Terms & Conditions
These terms form an agreement between you and AGENTDESKS.SALE (“we”, “us”), the provider of TextPert, a web service for editing text inside images. By creating an account or continuing to use TextPert you agree to these terms. If you use TextPert on behalf of an organisation, you confirm you have authority to bind it; if you use it as an individual, you confirm you are of legal age in your country.
The service
TextPert lets you upload PNG or JPEG images, detect the text in them, replace that text, rebuild the affected background, match the original typography and export the result. Paid plans are sold as monthly subscriptions that renew until cancelled.
Your account
- Keep your sign-in credentials confidential; you are responsible for activity under your account.
- Provide accurate account information and keep it up to date.
Acceptable use
You must not use TextPert to:
- break any applicable law or regulation;
- commit fraud, send spam, or impersonate a person or organisation;
- infringe anyone’s intellectual property, publicity or privacy rights;
- create deceptive or misleading altered images, including forged documents, identification, receipts, invoices, credentials, or fake statements attributed to real people or brands;
- interfere with the security or integrity of the service — malware, probing, scanning, scraping, circumventing technical limits, or reverse engineering the service.
Your images and content
You keep ownership of the images and text you upload. You confirm you hold the rights needed to upload and edit them. You grant us a limited licence to store and process your content solely to provide the service to you. You are responsible for how you use the images you export. If a rights holder contacts us about content you uploaded, we may remove or restrict it; repeated infringement can end your access.
Our intellectual property
We retain all rights in TextPert, including its software, design, documentation and branding. You receive a limited, non-exclusive, non-transferable right to use the service within your selected plan. You may not resell or redistribute the service.
Service level
We work to keep TextPert available and accurate, but we do not guarantee uninterrupted or error-free operation. Automated text detection and typography matching are approximations — always review results before you rely on them. To the fullest extent permitted by law we disclaim implied warranties, including merchantability and fitness for a particular purpose.
Payments, billing, tax and cancellation
Our order process is conducted by our online reseller Paddle.com. Paddle.com is the Merchant of Record for all our orders. Paddle provides all customer service inquiries and handles returns. Payment, billing, invoicing, tax, cancellation and refund mechanics are governed by the Paddle Buyer Terms. Subscriptions renew automatically each month at the price shown at checkout until you cancel. Refunds are described in our Refund Policy.
Suspension and termination
We may suspend or terminate your access for material breach of these terms, non-payment, a security or fraud risk, or repeated or serious policy violations. You may stop using the service at any time. When access ends you will have a reasonable window to export your content before it is deleted.
Liability
To the extent permitted by law, our aggregate liability is limited to the fees you paid in the twelve months before the claim, and we are not liable for indirect, consequential or special damages, including lost profits, data or goodwill. Nothing here excludes liability for fraud, death or personal injury where the law does not allow it.
You will indemnify us against claims arising from your content, your unlawful use of the service, or your breach of these terms.
Other terms
We may update these terms; continued use after an update means you accept it. You may not assign this agreement without our consent; we may assign it in a merger or acquisition. Neither party is liable for delays caused by events beyond its reasonable control. These terms are governed by the laws of the Republic of the Philippines, and disputes will be heard by the competent courts there.
